1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") govern access to and use of the Pulse website, applications, and related offerings (collectively, the "Service") provided by Visualized Technologies and/or its affiliates doing business as Pulse ("Pulse," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. DESCRIPTION OF THE SERVICE

Pulse is an AI‑assisted productivity platform providing task management, scheduling, notes, analytics, and related functionality. We may add, modify, or remove features at any time.

3. ACCOUNTS AND SECURITY

You must provide accurate information and maintain the security of your credentials. You are responsible for all activity under your account and must promptly notify us of any unauthorized use. You represent that you are at least the age of majority in your jurisdiction.

4. FEES AND PAYMENTS

Subscription plans, pricing, and billing cycles are described on our website. Payments are processed by third‑party processors (e.g., Stripe) and are subject to their terms. Except where required by law or expressly stated, fees are non‑refundable. We may change prices prospectively upon notice.

5. USER CONTENT AND LICENSE

You retain ownership of content you enter, upload, or store through the Service ("User Content"). You grant us a non‑exclusive, worldwide, royalty‑free license to host, process, transmit, display, and otherwise use User Content as necessary to provide and improve the Service and to comply with law. You are solely responsible for your User Content and for obtaining all necessary rights and consents.

6. THIRD‑PARTY SERVICES; INTEGRATIONS; AI/LLM TOOLS

6.1 Third‑Party Providers. The Service may interoperate with or depend on third parties, including cloud hosting, databases, analytics, authentication, communications, payment processors, scheduling providers, and artificial intelligence/large language model (LLM) services (collectively, "Third‑Party Services"). Third‑Party Services are governed by their own terms and privacy policies. We do not control and are not responsible for Third‑Party Services.

6.2 Data Transfers to Third Parties. You authorize us to transmit, process, and store User Content and other data with Third‑Party Services as necessary to provide the Service. THIRD‑PARTY SERVICES (INCLUDING AI/LLM PROVIDERS) MAY PROCESS, STORE, LOG, OR USE DATA IN ACCORDANCE WITH THEIR POLICIES, WHICH MAY DIFFER FROM OURS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY ARISING FROM THIRD‑PARTY SERVICES, THEIR SECURITY, THEIR AVAILABILITY, OR THEIR USE OF DATA.

6.3 No Endorsement; No Warranty. References to Third‑Party Services do not constitute endorsement. THE SERVICE IS PROVIDED WITH INTEGRATIONS "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND AS TO THIRD‑PARTY SERVICES.

7. DATA STORAGE; BACKUPS; DATA LOSS; DELETION

7.1 Not a Backup Service. THE SERVICE IS NOT INTENDED OR GUARANTEED TO BE A DATA BACKUP OR ARCHIVAL SERVICE. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING INDEPENDENT, REDUNDANT COPIES OF ALL USER CONTENT.

7.2 Data Loss and Deletion. TO THE FULLEST EXTENT PERMITTED BY LAW, PULSE AND VISUALIZED TECHNOLOGIES SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY LOSS, DELETION, DEGRADATION, CORRUPTION, UNAVAILABILITY, LEAKAGE, DISCLOSURE, OR FAILURE TO STORE OR TRANSMIT ANY DATA OR USER CONTENT, WHETHER CAUSED BY US, YOU, A THIRD PARTY, A THIRD‑PARTY SERVICE (INCLUDING DATABASE OR AI/LLM PROVIDERS), A NETWORK OR POWER OUTAGE, SCHEDULED OR UNSCHEDULED DOWNTIME, FORCE MAJEURE, OR OTHERWISE.

7.3 Service Changes and Migrations. We may migrate, modify, or discontinue any part of the Service at any time. We may delete data in accordance with our retention policies. We are not obligated to maintain or provide any data after account termination or expiration.

8. AVAILABILITY; OUTAGES; FORCE MAJEURE

THE SERVICE MAY BE TEMPORARILY UNAVAILABLE OR SUSPENDED, INCLUDING FOR MAINTENANCE, UPGRADES, OR FAILURES OF THIRD‑PARTY SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY FOR ANY HARM RESULTING FROM OUTAGES OR SERVICE INTERRUPTIONS, INCLUDING LOST DATA, LOST CONTENT, LOST BUSINESS, OR LOST PROFITS. WE SHALL NOT BE LIABLE FOR DELAYS OR FAILURES DUE TO EVENTS BEYOND OUR REASONABLE CONTROL.

9. PRIVACY

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you consent to such processing and to cross‑border transfers as described therein.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED.

11. LIMITATION OF LIABILITY; RELEASE; COVENANT NOT TO SUE

11.1 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PULSE, VISUALIZED TECHNOLOGIES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR DATA USE; OR FOR ANY BUSINESS INTERRUPTION; IN EACH CASE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

11.2 Release; Covenant Not to Sue for Data Issues. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU IRREVOCABLY RELEASE AND FOREVER DISCHARGE PULSE AND VISUALIZED TECHNOLOGIES FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, AND EXPENSES, WHETHER KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO ANY DATA LOSS, DATA LEAKAGE, UNAUTHORIZED ACCESS, DISCLOSURE, CORRUPTION, OR DELETION OF USER CONTENT OR OTHER DATA, INCLUDING WHERE CAUSED BY OUTAGES OR THIRD‑PARTY SERVICES (INCLUDING DATABASE OR AI/LLM PROVIDERS). YOU FURTHER COVENANT NOT TO SUE PULSE OR VISUALIZED TECHNOLOGIES FOR ANY SUCH MATTERS.

12. INDEMNIFICATION

You will indemnify, defend, and hold harmless Pulse, Visualized Technologies, and their affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any applicable law or third‑party right.

13. TERMINATION

We may suspend or terminate your access to the Service at any time with or without notice, including for breach of these Terms. Upon termination, your right to use the Service ceases immediately and we may delete your data in accordance with our policies. You may terminate at any time through your account settings.

14. GOVERNING LAW; VENUE

These Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑laws principles. You consent to exclusive jurisdiction and venue in the state and federal courts located in Florida for any dispute not subject to other dispute resolution terms.

15. CHANGES TO TERMS

We may update these Terms from time to time. Material changes will be notified via the Service or by email. Your continued use after changes become effective constitutes acceptance of the revised Terms.

16. MISCELLANEOUS

These Terms and any policies referenced constitute the entire agreement between you and us regarding the Service and supersede prior agreements. If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing. You may not assign these Terms without our consent; we may assign without restriction. Sections that by their nature should survive termination do so.
